Definitions
"Products": Refers to the range of services offered by OnShelf, including but not limited to advertising management, and analytics.
"Users": Refers to individuals or entities who access or use the Services provided by OnShelf.
“SellCord”:  A specialized platform and service provider designed to assist Walmart Marketplace sellers by integrating data from first-party (1P) suppliers and third-party (3P) sellers.
“1P Data”: Refers to first-party data collected directly from Walmart by OnShelf. This data includes information sourced from Walmart's own suppliers and is used to enhance the services provided to clients.
“3P Data”: Refers to third-party data collected from external sources or partners, including third-party sellers on the Walmart Marketplace. This data is utilized to provide insights and analytics that support sellers in optimizing their performance on the platform.
Services Provided
OnShelf offers a variety of Services designed to assist with advertising management, and analytics. These Services aim to enhance data utilization, optimize advertising strategies, and provide detailed analytics for better decision-making.
User Accounts
To use certain features of our Services, you may be required to create an account. When creating an account, you agree to:
  • Provide accurate, current, and complete information.
  • Maintain the security of your account by protecting your password and restricting access to your account.
  • Notify us immediately of any unauthorized use of your account or any other breach of security.
  • Accept all responsibility for activities that occur under your account.
User Responsibilities
As a User, you are responsible for:
  • Complying with all applicable laws and regulations.
  • Not using the Services for any unlawful purposes or in a manner that could harm OnShelf, its users, or any third parties.
  • Not engaging in any activity that disrupts or interferes with the functioning of the Services.
  • Not using the Services to transmit any harmful or malicious content.
Intellectual Property
OnShelf retains all rights, titles, and interests in and to the intellectual property associated with the Services, including but not limited to trademarks, logos, and content. Users are granted a limited, non-exclusive, non-transferable license to access and use the Services solely for their intended purposes. Users may not reproduce, distribute, modify, or create derivative works based on OnShelf’s intellectual property without express written permission.
Limitation of Liability
OnShelf is not liable for any indirect, incidental, consequential, or punitive damages arising from or related to your use of the Services. Our total liability to you for any claims arising from your use of the Services is limited to the amount you have paid, if any, for the Services in the six months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless OnShelf, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to your use of the Services or any violation of these Terms.
Modifications to Terms
OnShelf reserves the right to modify these Terms at any time. Any changes will be effective upon posting on our website. Your continued use of the Services following any changes to the Terms constitutes your acceptance of the revised Terms.
Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which OnShelf operates, without regard to its conflict of law principles.

Force Majeure
OnShelf is not liable for any failure or delay in performing its obligations under these Terms if such failure or delay is caused by events beyond its reasonable control, including but not limited to natural disasters, acts of war, or disruptions in telecommunications or internet services.
Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable.
Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Any failure by OnShelf to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
